1. Definitions

In these Terms and Conditions, the following definitions apply: "Service" refers to the rental assistance services provided by Pearl Residences including property consultation, search coordination, and relocation support. "Client" or "You" refers to any individual engaging our services. "We," "Us," or "Our" refers to Pearl Residences, located at 67/8 Laem Chabang Road, Sriracha, Chonburi 20230, Thailand. "Agreement" refers to these Terms and Conditions along with any service contract or engagement letter. "Property" refers to rental accommodations searched or recommended through our services.

2. Acceptance of Terms

By engaging our services, contacting us for consultation, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

These terms constitute a legally binding agreement between you and Pearl Residences. Your continued use of our services following any modifications to these terms constitutes acceptance of those changes.

3. Service Description

Pearl Residences provides professional rental assistance services including property consultation, search coordination, viewing arrangements, lease review, and relocation support in Thailand's Eastern Seaboard region, specifically focusing on Sriracha, Laem Chabang, and surrounding areas.

Our services are offered at three levels: Professional Living Consultation (฿12,000), Efficient Rental Coordination (฿38,000), and Complete Professional Relocation (฿60,000). Each service level includes specific deliverables as outlined in our service descriptions and confirmed in individual engagement agreements.

We act as intermediaries between clients and property owners or managers. We do not own, manage, or have direct control over the properties we recommend. Our role is to facilitate connections and provide professional guidance throughout the rental search process.

4. Client Responsibilities

As a client engaging our services, you agree to:

  • Provide accurate and complete information regarding your accommodation requirements, budget, timeline, and any relevant circumstances
  • Respond promptly to communications regarding property recommendations and viewing arrangements
  • Attend scheduled property viewings or provide reasonable notice of cancellation
  • Conduct yourself professionally during property viewings and interactions with property owners or managers
  • Review all lease agreements and documentation carefully before signing
  • Make your own independent assessment of property suitability before committing to any lease
  • Pay service fees according to agreed terms and schedule
  • Inform us promptly of any changes to your requirements or circumstances that might affect the property search

5. Service Fees and Payment

Service fees are determined by the level of service engaged and are payable in Thai Baht. Current fees are: Professional Living Consultation ฿12,000, Efficient Rental Coordination ฿38,000, and Complete Professional Relocation ฿60,000.

Payment terms typically involve a portion of the fee due at service commencement with the remainder payable upon successful lease signing. Specific payment schedules are confirmed in individual engagement agreements.

Service fees are separate from any deposits, rent, or other payments required by property owners. Clients are responsible for all property-related payments directly to landlords or property managers.

Fees are non-refundable once services have commenced, except in cases where we are unable to provide agreed services due to circumstances within our control. Any refund decisions are made at our discretion based on the specific circumstances.

6. Property Recommendations and Disclaimers

We provide property recommendations based on information provided by clients and our assessment of available properties. While we personally inspect properties before recommendation and verify information to the best of our ability, we make no warranties regarding property condition, landlord reliability, or suitability for any particular purpose.

Property information including photos, descriptions, amenities, and availability is provided by property owners or managers. While we strive for accuracy, we cannot guarantee that all information remains current or complete at the time of viewing or lease signing.

Clients are solely responsible for their own assessment of property suitability. We strongly recommend thorough personal inspection before committing to any lease agreement. We are not liable for any issues with properties discovered after lease signing.

7. Lease Agreements

Lease agreements are entered into directly between clients and property owners. We are not party to these agreements and bear no responsibility for their terms or enforcement.

When our services include lease review, we provide explanations and highlight important terms based on our experience. This does not constitute legal advice. We recommend that clients seek independent legal counsel for specific legal questions or concerns about lease agreements.

Any disputes arising from lease agreements must be resolved directly between clients and property owners. We may offer to facilitate communication but are under no obligation to intervene in lease-related disputes.

8. Limitation of Liability

Our liability in connection with services provided is limited to the amount of fees paid by the client for those services. We are not liable for any indirect, consequential, special, or punitive damages arising from use of our services or any property lease arranged through our services.

We are not responsible for: property condition issues not apparent during initial inspection, changes to property availability or terms after recommendation, actions or omissions of property owners or managers, disputes between clients and property owners, financial losses resulting from lease agreements, delays in property search due to market conditions or limited availability.

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Thai law.

9. Confidentiality

We maintain confidentiality of client information in accordance with our Privacy Policy. Client details are shared with property owners and managers only as necessary for viewing arrangements and lease processing, with client permission.

Clients agree to maintain confidentiality of proprietary information about our business operations, property owner contacts, and internal processes learned through our service engagement.

10. Intellectual Property

All content on our website including text, graphics, logos, and images is owned by Pearl Residences or licensed to us and is protected by Thai and international intellectual property laws.

You may view and use website content for personal, non-commercial purposes related to engaging our services. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.

11. Termination

Either party may terminate services by providing written notice. Termination does not affect obligations or liabilities incurred prior to termination date.

Upon termination, clients remain responsible for payment of services rendered up to the termination date. Any prepaid fees for services not yet provided may be refunded at our discretion based on work completed.

We reserve the right to terminate services immediately if clients provide false information, behave unprofessionally toward our staff or property contacts, or violate these Terms and Conditions.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from these terms or our services shall be subject to the jurisdiction of Thai courts.

Before initiating formal legal proceedings, parties agree to attempt resolution through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, either party may pursue legal remedies.

The venue for any legal proceedings shall be the courts of Chonburi Province, Thailand, and both parties consent to the personal jurisdiction of these courts.

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes become effective upon posting to our website. Material changes will be communicated to active clients via email.

Continued use of our services following changes constitutes acceptance of modified terms. If you do not agree with changes, you should discontinue service use and contact us to discuss termination if services are ongoing.

14. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable under Thai law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service engagement agreement, constitute the entire agreement between you and Pearl Residences regarding use of our services and supersede all prior or contemporaneous understandings.
